Terms of Service

1. Agreement

These Terms of Service (the “Terms”) govern your use of Siloed: the website at siloed.ai and its subdomains, the Siloed desktop application, and the services behind them (together, the “Service”). The Service is operated by Siloed (“we”, “us”).

Our Privacy Policy explains how we handle the information you give us and the information you connect. It is part of these Terms. By creating an account or using the Service you agree to both. If you do not agree, do not use the Service.

If you use the Service on behalf of a company or another organization, you confirm that you have the authority to bind it to these Terms, and “you” includes that organization.

2. Early access

Siloed is in early access. Features may change, break or be removed without notice, and the Service may be unavailable from time to time. We will try to give you notice before any change that affects the data you have stored with us, but we cannot promise to.

Because the Service is new, you should keep your own copies of anything you cannot afford to lose. Siloed is not a system of record for your original documents. Your connected accounts remain the source of the content Siloed reads.

3. Accounts

You must be at least 18 years old to use the Service. You sign in through a third-party identity provider, such as your Google account. You are responsible for keeping that account secure and for everything that happens under your Siloed account. Tell us right away at support@siloed.ai if you believe your account has been accessed without your permission.

We may refuse, suspend or close accounts at our discretion, including for breach of these Terms.

4. Your content and connected accounts

The Service works by reading content you connect or add: email, calendar events, meeting transcripts, files, text and voice you provide, and whatever other sources you choose to link (“Your Content”). When you connect an account, you authorize us to access it on your behalf for the purpose of building and maintaining your silos, and you can revoke that access at any time from within the Service or from the connected provider.

You own Your Content. You grant us a limited, worldwide, non-exclusive licence to store, process, analyse, reproduce, display and transmit Your Content, and to create derived material from it (items, plans, cover pages, summaries, indexes and embeddings), solely as needed to provide the Service to you and to the people you share with, and to keep the Service secure. That licence ends when you delete the content or your account, subject to the retention periods in our Privacy Policy and to content you have already shared with others.

You are responsible for Your Content and for having the right to connect the accounts you connect. Connected accounts often contain information about other people, such as the senders of your email or the participants in your meetings. You are responsible for complying with the laws that apply to you when you collect, record and share that information, including any consent required to record or transcribe a meeting.

5. Sharing

You can share a silo with other people by inviting them as members, and you can publish a silo’s cover page so that anyone with the link can read it. Sharing is your decision. Once you share something, the people you shared it with can read it and may copy it, and we cannot control what they do with it.

Knowledge that a member contributes to a shared silo becomes part of that silo. The original documents behind it stay private to the person who connected them.

Do not share content you do not have the right to share.

6. Automated output

Silos, cover pages, summaries, answers and suggestions are produced by automated systems, including machine-learning models. They can be incomplete, out of date or wrong, and they can miss things or include things that do not belong. Check the originals before you rely on anything important. Nothing the Service produces is legal, financial, medical or other professional advice.

7. Acceptable use

You agree not to:

  • use the Service in any way that breaks the law or violates the rights of others, including privacy and intellectual property rights;
  • connect an account, upload content or record a conversation that you do not have the right to use;
  • use the Service to harass, threaten or harm anyone, or to send spam or unsolicited messages;
  • probe, scan or test the vulnerability of the Service, or circumvent its security or access controls, except through a security disclosure to us;
  • interfere with the Service or place unreasonable load on it, or access it by automated means other than the interfaces we provide for that purpose;
  • reverse engineer, decompile or attempt to extract the source code of the Service, except to the extent the law allows this despite these Terms;
  • resell or sublicense the Service, or use it to build a competing product;
  • impersonate anyone, or misrepresent your affiliation with any person or organization.

8. Desktop software

We grant you a personal, non-exclusive, non-transferable, revocable licence to install and run the Siloed desktop application on devices you own or control, in order to use the Service under these Terms. The application checks for and installs updates automatically. The application includes open-source components that are licensed under their own terms, which are available on request.

The application may keep a local copy of your silos on your device so that they are fast to search and available offline. That copy is yours to use as you like on that device, but it is still Your Content under these Terms.

9. Fees

The Service is free during early access. We expect to introduce paid plans. If we do, we will tell you in advance, show you the price and billing terms before you are charged, and give you the chance to stop using the paid features. Fees will be stated exclusive of taxes, which you are responsible for where they apply.

10. Our intellectual property

The Service, including its software, design, text, graphics, and the Siloed name, mark and wordmark, belongs to us and our licensors and is protected by copyright, trademark and other laws. Apart from the licences expressly granted in these Terms, we keep all rights. You may not use our name or marks without our written permission.

11. Feedback

We welcome ideas, bug reports and suggestions. If you send us feedback, you agree that we may use it without restriction or payment, and you confirm that it does not contain anyone’s confidential information.

12. Third-party services

The Service connects to accounts and services run by other companies, such as Google, and lets you connect your silos to AI assistants and agents run by other companies. Your use of those services is governed by their terms and privacy policies, not ours. We are not responsible for them, and we may stop supporting a third-party service at any time.

13. Termination

You can stop using the Service at any time and ask us to delete your account by emailing support@siloed.ai. We can suspend or end your access at any time if you breach these Terms, if we are required to by law, or if we discontinue the Service. When your account ends we will disconnect your sources and delete your data as described in the Privacy Policy.

Sections 4 (as to content already shared), 6, 10, 11 and 14 through 18 survive termination.

14. Disclaimer of warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ACCURATE, COMPLETE, RELIABLE, SECURE, UNINTERRUPTED OR ERROR-FREE, OR THAT DATA WILL NOT BE LOST. YOUR USE OF THE SERVICE IS AT YOUR OWN RISK.

15. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, SILOED AND ITS OFFICERS, DIRECTORS, EMPLOYEES AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, PROFITS, REVENUE OR GOODWILL, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE OR ONE HUNDRED US DOLLARS.

Some jurisdictions do not allow some of these limitations. In those places, our liability is limited to the fullest extent the law allows.

16. Indemnification

You will defend, indemnify and hold us harmless from any claim, loss or expense, including reasonable legal fees, arising out of Your Content, your connected accounts, your sharing decisions, or your breach of these Terms or of any law.

17. Governing law and disputes

These Terms are governed by the laws of the State of California, without regard to its conflict-of-law rules. Any dispute arising out of these Terms or the Service will be brought in the state or federal courts located in California, and you consent to their jurisdiction. Before starting a claim, you agree to contact us at support@siloed.ai and to try in good faith to resolve it with us for 30 days.

18. Changes to these Terms

We may change these Terms. When we do, we will post the new version here with a new effective date, and for material changes we will tell you in the app or by email. If you keep using the Service after the change takes effect, you accept the new Terms. If you do not, stop using the Service.

19. General

These Terms and the Privacy Policy are the entire agreement between you and us about the Service. If any part of these Terms is found unenforceable, the rest stays in effect. Our not enforcing a provision is not a waiver of it. You may not assign these Terms without our consent. We may assign them to an affiliate or to a successor in a merger, acquisition or sale of assets.
